WABOOST – Vendor Terms and Conditions Effective Date: 01-01-2025 These Vendor Terms and Conditions (“Agreement”) govern the relationship between WABOOST (“Company”, “We”, “Us”) and any individual or entity registering as a Vendor / Partner / Reseller (“Vendor”, “You”) on the WABOOST platform. By registering or operating as a Vendor on WABOOST, you agree to be bound by these Terms. 1. Vendor Eligibility Vendors must be at least 18 years of age Businesses must be legally registered and authorized to provide services WABOOST reserves the right to approve, reject, or revoke vendor access at its sole discretion 2. Scope of Vendor Services Vendors may offer services including but not limited to: WhatsApp automation setup Chatbot configuration Campaign management CRM integration Client onboarding and support All services must comply with Meta, WhatsApp API, and Indian laws. 3. Vendor Responsibilities Vendors agree to: Provide accurate business and contact information Deliver services professionally and ethically Ensure all client messaging is opt-in and non-spam Follow WABOOST platform rules, pricing policies, and technical guidelines Avoid misleading claims, fake promises, or unauthorized promotions 4. Compliance & Prohibited Activities Vendors must NOT: Send spam or unsolicited messages Use fake data, bots, or illegal automation Violate WhatsApp / Meta policies Engage in fraud, harassment, or deceptive practices Violation may result in immediate suspension or termination. 5. Payments & Revenue Vendor commissions, pricing, or revenue sharing (if applicable) will be defined separately WABOOST is not responsible for disputes between vendors and their clients Vendors are responsible for their own taxes, GST, and invoicing 6. Account Security Vendors are responsible for safeguarding login credentials Any activity performed through the vendor account is deemed authorized WABOOST is not liable for losses caused by compromised credentials 7. Intellectual Property WABOOST branding, software, dashboards, and materials remain the exclusive property of WABOOST Vendors may not copy, resell, white-label, or redistribute platform assets without written approval 8. Data & Privacy Vendors must protect client data and comply with applicable data protection laws Sharing, selling, or misusing customer data is strictly prohibited Vendors must follow WABOOST Privacy Policy standards 9. Limitation of Liability WABOOST shall not be liable for: Vendor business losses Client disputes Account bans due to vendor misuse Indirect, incidental, or consequential damages Use of the platform is at the vendor’s own risk. 10. Suspension & Termination WABOOST may suspend or terminate vendor access: For violation of these Terms For misuse of the platform For legal or compliance risks Without prior notice if required Termination does not waive outstanding obligations. 11. Governing Law This Agreement shall be governed by and interpreted in accordance with the laws of India. 12. Modifications WABOOST may update these Vendor Terms at any time.
